Terms of Service

1 Services Provided

NanoSoftQA provides software quality assurance and testing services, including but not limited to mobile app testing, web application testing, desktop application testing, test automation, API testing, performance testing, security testing, and usability testing. The specific services for each engagement will be defined in a separate proposal, statement of work, or written agreement.

2 Engagement & Scope

Each engagement begins with a mutually agreed scope of work, timeline, and deliverables. Any work requested beyond the agreed scope ("change requests") will be quoted separately and require written approval before commencement. We will communicate progress transparently and provide regular status updates throughout the engagement.

3 Client Responsibilities

To enable us to deliver high-quality work, you agree to:

• Provide timely access to the software, test environments, accounts, and documentation needed for testing.
• Supply accurate and complete requirements and respond promptly to our questions.
• Designate a point of contact for communication and approvals.
• Ensure you have the legal right to grant us access to any systems or materials shared.

Delays in providing access or information may affect timelines and deliverables.

4 Fees & Payment

Fees are set out in the applicable proposal or agreement and may be charged hourly, per milestone, or as a fixed project fee. Unless otherwise agreed:

• Invoices are payable within the period stated on the invoice.
• For new clients, we may require an upfront deposit or milestone-based payment structure.
• All fees are quoted in US Dollars (USD) unless stated otherwise.
• Late payments may result in suspension of services until the account is brought current.

Any cost estimates provided through our online calculator or initial discussions are indicative only and do not constitute a binding quote until confirmed in writing.

5 Confidentiality & NDA

We treat all client information as strictly confidential. Every engagement is covered by a Non-Disclosure Agreement (NDA), either as a standalone document or as a clause within our service agreement. We will not disclose your confidential information, source code, or business data to any third party without your written consent, except as required by law.

6 Intellectual Property

All deliverables we create specifically for you during an engagement, such as test cases, test plans, bug reports, automation scripts, and QA reports, become your property upon full payment. We retain ownership of our pre-existing tools, methodologies, templates, and general know-how, and may reuse this general expertise across engagements without disclosing any client-specific information.

7 Warranties & Disclaimers

We perform our services with professional skill and care, consistent with industry standards. However, software testing reduces risk but cannot guarantee that software is entirely free of defects. We do not warrant that all bugs will be found, or that tested software will be error-free in production.

Except as expressly stated, our services are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

8 Limitation of Liability

To the maximum extent permitted by law, NanoSoftQA's total liability arising from or related to any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits or business interruption, even if advised of the possibility of such damages.

9 Term & Termination

Either party may terminate an engagement with written notice as specified in the applicable agreement. Upon termination, you agree to pay for all services performed up to the termination date. Sections relating to confidentiality, intellectual property, and limitation of liability survive termination.

10 Independent Contractor

NanoSoftQA operates as an independent service provider. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties. We are responsible for our own taxes, insurance, and the conduct of our team.

11 Governing Law

These Terms are governed by the laws of Bangladesh, without regard to its conflict-of-law principles. For international clients, the specific governing law and dispute resolution mechanism may be agreed separately in the engagement contract. We aim to resolve any disputes amicably through good-faith negotiation before pursuing formal proceedings.

12 Changes & Contact

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
